Terms of Service

Effective: 10 October 2026 · Last updated: 10 October 2026

These Terms of Service (the "Terms") are a binding agreement between you and Movandco, LLC, a Wyoming limited liability company with its registered office at 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("Movandco", "we", "us", "our"). They govern your access to our website and your use of our services. "Terms of Service" and "Terms and Conditions" mean the same thing, and this document is both. If you sign a separate written agreement with us, such as a services agreement or statement of work, that agreement controls where it conflicts with these Terms.

By using our website or services, or by paying for a service, you agree to these Terms. If you do not agree, do not use them.

1. Who can use our services

Our services are for businesses and adults. You must be at least 18 (or the age of majority where you live) and able to enter a binding contract. If you accept these Terms for a company or other organization, you confirm that you have authority to bind it, and "you" includes that organization.

2. Our services

Scope. We will provide the services described in your proposal, invoice, order, or statement of work (together, an "Order"). Anything outside the Order is a change request, and we may charge additional fees for it after agreeing the price with you in writing.

Services we offer. Depending on your Order, these include:

  • Paid advertising: planning, building, managing, and reporting on campaigns on Meta (Facebook and Instagram), Google Ads, YouTube, TikTok, and Snapchat.
  • Organic marketing: content planning, creation, and publishing on social platforms.
  • Branding: logos, brand guidelines, and related creative assets.
  • Web design: design and build of websites and landing pages.

Standard of care. We will perform the services with reasonable skill and care, using appropriately skilled staff.

No guaranteed results. We do not guarantee any particular number of leads, clicks, appointments, sales, rankings, return on ad spend, or other outcome. Results depend on factors such as your market, offer, pricing, budget, competitors, platform algorithms, and seasonality.

Changes to services. We may improve, change, or discontinue parts of our website and services. If we make a change that materially reduces a paid service, we will tell you and, where the law requires, offer a fair remedy.

3. What we need from you

To deliver the services, you agree to:

  • Give us accurate, complete, and timely information, access, approvals, and materials we reasonably request.
  • Keep your account credentials secure and tell us right away about any unauthorized use.
  • Use the services only for lawful purposes and comply with the laws that apply to your business and campaigns.
  • Make sure you have all rights, licenses, consents, and permissions needed for materials you give us and for the products or services we promote.
  • Meet the requirements of the advertising platforms we manage for you, such as Meta, Google, TikTok, and Snapchat.

If you do not meet these duties, we may pause the services, and any resulting delay will not make us liable or reduce your fees.

4. Advertising, leads, and consent

Many of our services involve advertising and collecting enquiries ("leads") for you. For campaigns we run on your behalf, you agree that:

  • You are responsible for the accuracy and legality of your offers, claims, and landing-page content, including any claims regulated by advertising, consumer protection, healthcare, or professional rules. We will not run advertising that we reasonably believe is false, misleading, or unlawful.
  • Lead data is collected for you, with the person's consent. You will handle it in line with applicable privacy and marketing laws, including those listed in our Privacy Policy, and you will honor opt-outs and Do Not Call or Do Not Contact requests.
  • You will not ask us to send marketing emails, texts, or calls to anyone without the consent the law requires (for example under CAN-SPAM, the TCPA, CASL, PECR, and the Spam Act 2003).
  • Where we process personal information for you, we will do so under our Privacy Policy and any data processing agreement we sign with you, and we will follow your lawful instructions.
  • Ad platforms may reject ads, restrict accounts, or change their rules at any time. We are not responsible for decisions of third-party platforms, but we will help you respond where we reasonably can.

5. Medical and dental clients

We work with medical and dental practices. If you are a health-care provider, you also agree that:

  • No protected health information. You will not send us medical or dental records, treatment notes, insurance information, or any other protected health information (PHI), and you will set up your CRM, forms, and tracking so that PHI does not reach us or ad platforms. We are not a HIPAA covered entity or business associate. If you need us to handle PHI, we must first agree a business associate agreement in writing.
  • Advertising rules. You are responsible for making sure that your ads and website comply with the rules for your profession and location, including state dental and medical board advertising rules, FTC and platform rules on health claims, testimonials, and before-and-after images, and the laws on patient privacy and consent. You must give us only claims, images, and testimonials that you have the right and the patient permission to use.
  • Platform limits. Meta, Google, TikTok, and Snapchat restrict targeting and tracking for health-related advertising. Those limits can reduce campaign performance, and we are not liable for the effects of those limits.
  • Not professional advice. We provide marketing services only. We do not give medical, dental, legal, or regulatory advice, and you should take your own advice on whether your marketing meets the rules that apply to you.

6. Web design and branding

  • Your content and approvals. You are responsible for the text, images, claims, and other content you ask us to put on your website, and for reviewing and approving the work before it goes live.
  • Third-party services. Domains, hosting, themes, plug-ins, and similar services are provided by third parties, are usually billed separately, and are subject to their own terms. Unless we agree otherwise in the Order, you own and control these accounts.
  • Accessibility and legal pages. We design with reasonable regard to accessibility. We do not guarantee that a website complies with every accessibility or legal requirement (such as the ADA, WCAG, or cookie and privacy rules) unless the Order says so. You are responsible for your own privacy policy, terms, and consent tools on your website.
  • Revisions. The Order states the number of revision rounds. Additional revisions are billed at our then-current rates after we agree the price with you.

7. Fees, ad spend, and payment

Start of service. Our services start as soon as you pay your first invoice or payment. We are not obliged to begin work before then.

Recurring charges. For ongoing services, the same fee is charged each month on the same calendar date as your first payment, until you cancel under Section 15. If that date does not exist in a month, we charge on the last day of the month. By paying, you authorize us (and our payment processor) to charge your payment method on that schedule.

Currency. All fees are in United States dollars (USD) unless the Order says otherwise. Your bank may charge conversion or foreign-transaction fees.

Ad spend. Advertising spend charged by platforms is separate from our fees. Unless the Order says otherwise, you pay platforms directly or reimburse us for spend we advance on your behalf.

Taxes. Fees do not include sales, use, GST, HST, VAT, or similar taxes. You are responsible for them, other than taxes on our income.

Late or failed payment. We do not charge late fees. If a payment fails or is not made, we may pause the services until it is paid, and we may recover reasonable costs of collecting an overdue amount where the law allows.

Disputes. If you dispute a charge, tell us in writing within 14 days with your reasons. Please contact us before you ask your bank for a chargeback so we can try to resolve it. We will work with you in good faith.

Price changes. We may change our fees by giving you at least 30 days' written notice before the change applies. If you do not agree, you may cancel under Section 15 before it applies.

Refunds. Fees are non-refundable once the work or the monthly service period has begun, except where the Order says otherwise or the law requires a refund.

8. Intellectual property

Your materials. You keep ownership of everything you give us, such as logos, brand assets, content, data, and account access ("Client Materials"). You grant us a non-exclusive, worldwide, royalty-free license to use Client Materials only to provide the services to you.

Deliverables. When you have paid for them in full, you own the final deliverables we create specifically for you (such as ad copy, graphics, branding assets, and website designs), except for the items described in the next paragraph.

Our materials. We keep all rights in our pre-existing and general-purpose tools, templates, processes, methods, software, know-how, and any elements within deliverables that are not specific to you ("Movandco Materials"). To the extent they are included in a deliverable, we grant you a non-exclusive, perpetual, royalty-free license to use them as part of that deliverable for your business.

Third-party content. Some deliverables may include stock images, fonts, music, or software licensed from others. Their license terms apply, and we will tell you of any significant restrictions.

Portfolio. Unless you tell us in writing not to, we may describe our work for you, and show non-confidential results, in our portfolio and marketing. We will not use your name or logo without your permission, and we will never show patient information.

Feedback. If you give us suggestions about our services, we may use them freely without obligation to you.

9. Confidentiality

Each party may receive non-public business information from the other ("Confidential Information"). The receiving party will use it only for the purposes of these Terms, protect it with reasonable care, and not disclose it except to employees, contractors, and advisers who need to know it and who are bound by confidentiality duties. This does not apply to information that is public through no fault of the receiving party, was already known to it, was independently developed, or was received lawfully from someone else. A party may disclose Confidential Information where the law requires, after giving the other notice where lawful. These duties continue for 3 years after these Terms end, and for trade secrets for as long as they remain trade secrets.

10. Privacy and data protection

Our Privacy Policy explains how we collect and use personal information, and forms part of these Terms. If we process personal data for you as your service provider or processor, and the law requires a data processing agreement (for example under the UK GDPR or CCPA), we will enter into one on request. You are responsible for giving the notices and obtaining the consents the law requires before you give us personal information or ask us to collect it for you.

11. Acceptable use

You must not, and must not help others to:

  • Break any law or third-party right, or use our services for fraud, harassment, or discrimination.
  • Send spam, or collect or use personal information without a lawful basis.
  • Upload malware, or try to disrupt, probe, or gain unauthorized access to our systems or those of other people.
  • Reverse engineer, copy, or resell our website, tools, or services without our written permission.
  • Use our services to promote illegal goods or services, or content that is hateful, deceptive, sexually explicit involving minors, or otherwise prohibited by ad platform policies.

We may suspend or end access immediately if we reasonably believe you have broken this section or put others at risk.

12. Third-party services

Our services rely on third-party tools and platforms, such as advertising networks, CRM systems, analytics tools, and cloud services. Their own terms apply to your use of them, and we are not responsible for their availability, accuracy, or actions. Links to third-party websites on our site are provided for convenience only.

13. Warranty disclaimer

Except for the commitments in these Terms, and to the fullest extent the law allows, our website and services are provided "as is" and "as available". We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website or services will be uninterrupted, error-free, or secure.

14. Limitation of liability and indemnity

Limits. This paragraph applies to the fullest extent the law allows.

  • No indirect losses. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if told they were possible.
  • Cap. Our total liability for all claims arising out of or related to these Terms or the services will not exceed the fees you paid us for the services giving rise to the claim in the 12 months before the event that caused the claim.
  • Exceptions. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or gross negligence or willful misconduct.

These limits do not stop you from paying fees you owe.

Indemnity. You will defend and indemnify Movandco, its owners, employees, and contractors against third-party claims, and related losses, damages, and reasonable legal fees, arising from (a) Client Materials or the products, services, or claims you ask us to promote, (b) your breach of these Terms or applicable law, or (c) personal information you give us without the required notices or consents. We will promptly tell you of any claim, let you control its defense and settlement (but not settle it in a way that admits fault for us without our consent), and reasonably cooperate at your cost.

15. Term and cancellation

Term. These Terms apply from when you first use our website or services until they are ended under this section. Each Order has the term stated in it. Ongoing monthly services continue until cancelled.

Cancelling by you. To cancel an ongoing service, give us at least 30 days' written notice by email to movvalabdula@gmail.com. The service and the monthly charge continue until the end of the notice period, and we will not charge you after that date. We do not refund the fees for a period that has already started.

Termination for cause. Either party may end these Terms or an Order by written notice if the other party materially breaches them and does not fix the breach within 14 days of notice, or if the other becomes insolvent. We may suspend or end services at once under Section 11.

What happens next. You will pay all fees for services performed up to the end date. Sections that by their nature should continue (including 7, 8, 9, 13, 14, 18, and 19) survive. On request after the end, we will return or delete your Client Materials and personal information we hold for you, subject to legal retention duties and our Privacy Policy.

16. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, terrorism, strikes, power or internet outages, platform outages, government action, or pandemics. The affected party will notify the other and take reasonable steps to resume performance. This does not excuse payment of amounts already owed.

17. Changes to these Terms

We may update these Terms from time to time. We will post the new version with a new "Last updated" date and, for material changes, give you at least 30 days' notice (for example by email). If you keep using the services after the changes take effect, you accept them. If you do not agree, you may stop using the services and cancel under Section 15. Changes do not affect Orders already in progress unless you agree in writing.

18. Governing law and disputes

Governing law. These Terms, and any dispute arising from them, are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, and, where relevant, U.S. federal law.

Informal resolution first. Before starting a formal proceeding, each party will give the other written notice of the dispute and try in good faith to resolve it for at least 30 days.

Courts. Subject to the next paragraph, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute that is not resolved informally, and each party consents to those courts.

Your local consumer rights. If you are a consumer (an individual using our services mainly for personal, family, or household purposes) and the mandatory laws of the place where you live give you rights that cannot be waived by contract, those rights apply and nothing in these Terms removes them. This includes, for example, the right to bring a claim in the courts of your home jurisdiction where the law gives you that right.

19. Local law notices

  • United States: Some states do not allow certain disclaimers or limits on liability, so parts of Sections 13 and 14 may not apply to you. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
  • Canada: Nothing in these Terms limits your rights under applicable provincial consumer protection law. Quebec residents: you have the right to request these Terms and related documents in French, and we will provide a French version on request.
  • United Kingdom: Nothing in these Terms excludes or limits your statutory rights under the Consumer Rights Act 2015 or any liability that cannot be excluded under UK law.
  • Australia: Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). Where the law allows us to limit remedies for a breach of a consumer guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again. Nothing in these Terms excludes, restricts, or modifies those guarantees or your rights under them.

20. General

  • Entire agreement. These Terms, your Order, and our Privacy Policy are the whole agreement between us on their subject and replace earlier discussions.
  • Order of priority. If there is a conflict, the Order prevails over these Terms for that service, and these Terms prevail over our Privacy Policy on commercial matters.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor to our business.
  • Independent parties. We are an independent contractor. Nothing here creates a partnership, joint venture, agency, or employment relationship.
  • Severability. If a provision is found unenforceable, it will be limited to the minimum extent needed, and the rest remains in force.
  • No waiver. Not enforcing a right is not a waiver of it.
  • Notices. Legal notices to us must be sent in writing to the address below, with a copy by email. We may give notices to you by email or through our website.
  • No third-party beneficiaries. Only the parties may enforce these Terms.
  • Electronic signature. You agree that electronic acceptance, such as a click, a payment, or a signed PDF, is binding.
